Terms of Service
Terms and conditions governing the use of the SKALP AI platform

Article 1 – Purpose
These Terms of Service (hereinafter "ToS") define the terms and conditions governing access to and use of the SKALP AI SaaS service (hereinafter "the Service"), published by SKALP AI, a simplified joint-stock company (SAS) headquartered in Paris, France.
Any use of the Service constitutes unreserved acceptance of these ToS by the user or the legal entity on whose behalf they act (hereinafter "the Customer").
Article 2 – Access to the Service
The Service is accessible to businesses (B2B) holding an account created on the SKALP AI platform. Access is reserved for professionals using Microsoft Dynamics 365 Finance & Operations (D365 F&O).
The Service is available 24/7, subject to planned maintenance or unforeseen outages. SKALP AI endeavors to notify Customers of scheduled maintenance with reasonable notice.
Article 3 – User Account
Access to the Service requires creating a user account. The Customer undertakes to provide accurate, complete and up-to-date information upon registration and to maintain its accuracy throughout the contractual relationship.
The Customer is solely responsible for the confidentiality of their login credentials and all activity carried out from their account. In the event of suspected credential compromise, the Customer must notify SKALP AI promptly at contact@skalp.ai.
Article 4 – Service Description
SKALP AI is a development automation SaaS service for Microsoft Dynamics 365 Finance & Operations (D365 F&O), leveraging artificial intelligence to analyze functional specifications, generate X++ code, and resolve development tickets.
Standard Plan:Under the Standard plan, the Customer submits D365 F&O development tickets to the platform. Each successfully resolved ticket is billed at €200 excl. VAT per ticket. No charge is applied if the ticket is not resolved by the Service.
A ticket is deemed resolved when SKALP AI has delivered compilable X++ code that is functionally compliant with the specifications submitted by the Customer.
Article 5 – Billing and Payment
Principle: Billing is triggered exclusively upon ticket resolution, at the rate in effect at the time of submission. No monthly subscription is charged under the Standard plan.
Invoices are issued monthly for all tickets resolved during the preceding month. Payment is due within 30 days of receipt.
All prices are stated in euros exclusive of tax. Applicable VAT will be that in force on the invoice date.
Article 6 – Intellectual Property
Code delivered to the Customer: The X++ source code and all deliverables generated by the Service upon ticket resolution belong entirely to the Customer once the corresponding payment has been made. SKALP AI permanently and exclusively assigns all intellectual property rights over these deliverables to the Customer.
SKALP AI platform: The platform, its algorithms, AI models, interfaces, trademarks and domain names remain the exclusive property of SKALP AI. The Customer is granted only a non-exclusive, non-transferable, non-sublicensable right of access limited to the duration of the contract.
Article 7 – Data and Confidentiality
The Customer retains ownership of all data submitted to SKALP AI in connection with use of the Service. SKALP AI undertakes to treat such data confidentially and to use it solely for service delivery. The processing of personal data is governed by our Privacy Policy (GDPR).
Article 8 – Liability
SKALP AI's liability is limited to proven direct damages, capped at the total amount paid by the Customer in the 3 months preceding the damaging event. SKALP AI shall not be liable for indirect damages, including loss of data, revenue, profits, or business harm.
Code generated by SKALP AI must be validated by the Customer before any production deployment. It is the Customer's responsibility to verify the suitability of the delivered code for their specific environment.
Article 9 – Termination
Either party may terminate the contract at any time without cause, subject to 30 days' written notice. Tickets in progress at the termination date will be completed and billed in accordance with these ToS.
Upon termination, the Customer may export all their data and deliverables within 30 days of the effective termination date, after which SKALP AI will permanently delete the data.
Article 10 – Amendments
SKALP AI reserves the right to amend these ToS at any time. In the event of material changes, the Customer will be notified by email at least 30 days before the new terms take effect. Continued use of the Service after that period constitutes acceptance of the new ToS.
Article 11 – Governing Law and Jurisdiction
These ToS are governed by French law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Paris, France.
